These Terms and Conditions ("Terms") govern the contractual relationship between SWINTA S.R.O., Mostová 185/2, 811 02 Bratislava, Slovakia, operating under the brand name ONIX WEB ("Service Provider", "we", "us"), and any individual or legal entity ("Client", "you") that engages our services.
By placing an order, signing a project agreement, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
ONIX WEB provides digital marketing and web services including but not limited to:
The specific scope of services, deliverables, timelines and pricing are defined in a separate Project Agreement signed by both parties for each engagement. These Terms form an integral part of every Project Agreement.
All projects begin with a written Project Agreement outlining the scope of work, milestones, timeline and pricing. Any changes to the agreed scope must be requested in writing and may result in an adjustment to the timeline or cost, which will be communicated to the Client before work begins.
ONIX WEB reserves the right to decline or discontinue a project if the requested content or scope conflicts with applicable laws, platform policies, or our internal ethical standards.
Unless otherwise stated in the Project Agreement, the following payment terms apply:
Invoices not paid within 14 days of the due date may result in suspension of services. We reserve the right to charge statutory late payment interest in accordance with applicable law.
Where explicitly stated in a Project Agreement, ONIX WEB offers a pay-for-results model or a money-back guarantee. In such cases, the definition of "results", the measurement methodology, and the conditions for a refund are set out in the respective Project Agreement.
The money-back guarantee applies only to our service fees and does not cover advertising budgets already spent on third-party platforms, third-party software licences, or domain/hosting costs. A refund claim must be submitted in writing within 14 days of the agreed delivery deadline.
Estimated timelines are stated in the Project Agreement. Timelines are contingent on the timely provision of content, feedback and approvals by the Client. ONIX WEB is not liable for delays caused by the Client's failure to provide required materials or approvals within the agreed timeframe.
The Client agrees to:
Upon receipt of full payment, all deliverables created specifically for the Client (website design, copy, graphics) become the property of the Client. ONIX WEB retains the right to display the work in its portfolio and case studies, unless the Client requests otherwise in writing.
Third-party components used in deliverables (themes, plugins, stock images, fonts) are subject to their respective licences. ONIX WEB does not transfer ownership of third-party components.
Advertising budgets paid to Google, Meta, or other third-party platforms are entirely separate from ONIX WEB's management fees. The Client is solely responsible for funding their advertising accounts. ONIX WEB does not accept liability for ad account suspensions, policy violations by the platform, or changes in platform algorithms that affect campaign performance.
Both parties agree to keep confidential any non-public information exchanged during the course of the engagement, including business strategies, pricing, technical details and client data. This obligation survives the termination of the agreement for a period of two (2) years.
To the maximum extent permitted by applicable law, ONIX WEB's total liability to the Client for any claim arising from or related to the services shall not exceed the total fees paid by the Client to ONIX WEB in the three (3) months preceding the claim.
ONIX WEB is not liable for indirect, incidental, consequential or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
Either party may terminate ongoing services with 30 days' written notice. In the event of termination, the Client is liable for all fees accrued up to the termination date. One-time project agreements may not be cancelled once work has commenced, unless both parties agree in writing.
These Terms are governed by the laws of the Slovak Republic. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bratislava, Slovakia, unless mandatory consumer protection laws in the Client's country of residence require otherwise.
ONIX WEB reserves the right to update these Terms at any time. Changes will be published on this page with an updated date. Your continued use of our services after the publication of changes constitutes acceptance of the updated Terms.
